Terms governing the use of Nova's website and the contracting of its services.

1. Identification of the owner

This website (novaacademy.com) and the associated services are operated by INVERSIONES NOVA GROUP EDTECH S.A.C., identified with RUC 20611321091, Lima, Peru (hereinafter, "Nova"). For any inquiries about these Terms, write to hola@novaacademy.com.

2. Purpose and acceptance

These Terms and Conditions (the "Terms") govern access to and use of the Nova website, as well as the general relationship with its users and customers. By accessing, browsing, or using the Site, or by contracting any of Nova's services, the user declares that they have read, understood, and accepted these Terms in full.

If you do not agree with these Terms, you must refrain from using the Site and contracting the services.

3. Definitions

  • Site: the website novaacademy.com and its subdomains.
  • User: any person who accesses or browses the Site.
  • Client: the natural or legal person that contracts one or more Services from Nova.
  • Services: training, advisory, consulting, and outsourcing in artificial intelligence, as described on the Site and detailed in each proposal or contract.
  • Content: texts, materials, methodologies, courses, brands, logos, designs, and other elements available on the Site or delivered as part of the Services.

4. Services offered by Nova

Nova provides four lines of service in artificial intelligence applied to business: training, advisory, consulting, and outsourcing. The information published on the Site is for informational and commercial purposes.

The scope, deliverables, deadlines, prices, and specific conditions of each service are established in the commercial proposal or contract signed with each Client, which prevails over the general information on the Site.

5. Contracting of services

The contracting of a Service is perfected through the acceptance of a commercial proposal or the signing of a contract between Nova and the Client. In case of discrepancy between these Terms and the specific contract, the specific contract shall prevail.

Prices are agreed upon in each proposal and do not include taxes, unless expressly stated. Payment, invoicing, rescheduling, and cancellation conditions are governed by what is agreed in the corresponding proposal or contract.

6. Permitted use of the site

The User undertakes to use the Site in accordance with the law, good faith, and these Terms. The following is prohibited:

  • Using the Site for unlawful or unauthorized purposes.
  • Attempting to breach the security of the Site or access restricted areas.
  • Extracting data automatically (scraping), introducing malicious code, or overloading the infrastructure.
  • Impersonating third parties or providing false information.
  • Reproducing, copying, or exploiting the Content without authorization.

Nova reserves the right to restrict or suspend access in the event of any improper use.

7. Intellectual property

All Content of the Site and Services —including the "Nova" brand, logos, the Nova method, training materials, presentations, templates, code, and designs— is owned by Nova or its licensors, and is protected by intellectual property laws.

Access to the Site or the contracting of a Service does not transfer any intellectual property rights. The reproduction, distribution, public communication, transformation, or resale of the Content without Nova's prior written authorization is prohibited.

8. Training materials and certifications

The materials delivered in the training programs are granted to the Client and participants under a personal, internal, non-transferable license limited to the purposes of their training. They may not be reproduced, marketed, or shared with third parties outside the program.

The certifications issued by Nova attest to participation or approval of the corresponding program according to its criteria, and do not constitute an officially recognized degree, unless expressly indicated.

9. Use of artificial intelligence

Nova's Services involve proprietary and third-party artificial intelligence tools and models. The User and Client acknowledge that:

  • Results generated by AI systems may contain errors, inaccuracies, or biases, and require human supervision and validation before use.
  • Nova does not guarantee specific results derived from the use of AI tools, as they depend on the data, context, and decisions of the Client.
  • The use of third-party tools (for example, platforms from providers such as OpenAI, Anthropic, Google, or Microsoft) is subject to the terms and policies of those providers, which the Client agrees to comply with.
  • The Client is responsible for the information entered into such tools and for complying with applicable regulations regarding data protection, confidentiality, and intellectual property.
  • Nova shall not be liable for decisions made by the Client based on AI results without due validation.

10. Personal data protection

The processing of personal data provided by the User or Client through the Site —for example, through contact forms— is governed by Nova's Privacy Policy and by Law No. 29733, the Personal Data Protection Law, and its regulations.

By submitting their data, the User authorizes its processing for the purposes described therein. The User may exercise their rights of access, rectification, cancellation, and opposition in accordance with said regulations by writing to hola@novaacademy.com.

11. Links and third-party services

The Site may contain links to third-party sites or services. Nova does not control or assume responsibility for the content, policies, or practices of such third parties. Access to these resources is the exclusive responsibility of the User.

12. Site availability

Nova endeavors to keep the Site available and up to date, but does not guarantee uninterrupted or error-free operation. Nova may modify, suspend, or discontinue all or part of the Site or its contents at any time, without incurring any liability.

13. Limitation of liability

The Content of the Site is for informational purposes and does not constitute professional, legal, financial, or technical advice for a specific case.

To the maximum extent permitted by law, Nova shall not be liable for indirect, incidental, or consequential damages arising from the use of the Site or the inability to use it. Nova's liability in the context of a contracted Service is governed and limited by the corresponding contract or proposal. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnity

The User and Client shall hold Nova harmless from claims, damages, or costs arising from breach of these Terms, improper use of the Site or Services, or infringement of third-party rights or the law.

15. Confidentiality

Confidential information exchanged by the parties in the context of a commercial relationship shall be treated in accordance with the contract or confidentiality agreement entered into.

16. Consumer protection

In consumer relationships, the Consumer Protection and Defense Code (Law No. 29571) and the jurisdiction of Indecopi apply. Nova makes its virtual Complaints Book available to consumers, accessible at /en/claims-book.

17. Modifications to the terms

Nova may update these Terms at any time. The current version will always be the one published on the Site, with its last update date. Continued use of the Site after a modification implies acceptance of the updated Terms.

18. Applicable law and jurisdiction

These Terms are governed by the laws of the Republic of Peru. Any dispute arising from these Terms shall be submitted to the jurisdiction of the courts and tribunals of the Judicial District of Lima, unless a mandatory consumer protection provision provides otherwise.
